The agreement between you and Utthana Ventures LLC covering your use of CertiDwell.
Operated by: Utthana Ventures LLC, a California limited liability company · Website: certidwell.io
1.Acceptance of These Terms
These Terms of Use (“Terms”) govern your access to and use of CertiDwell’s website, software, applications, services, and related features (collectively, the “Service”). The Service is operated by Utthana Ventures LLC, a California limited liability company (“Utthana Ventures LLC”, “we”, or “us”). By creating an account, accessing the Service, subscribing to a paid plan, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2.Description of CertiDwell
CertiDwell is a digital documentation and organization service intended to help users collect, organize, maintain, and retrieve information and documentation relating to property, household assets, ownership, maintenance, insurance, warranties, and related matters. Features may change over time.
3.Not Insurance, Legal, Tax, or Financial Advice
CertiDwell is a technology and documentation service. It does not provide insurance coverage, underwriting, claims decisions, legal advice, tax advice, financial advice, appraisal services, or professional advice unless expressly stated in a separate written agreement. Information generated or organized by CertiDwell should not be treated as a guarantee that an insurer, adjuster, government agency, lender, attorney, or other third party will accept the information for a particular purpose.
4.User Accounts
You agree to provide accurate information, maintain account security, keep information current, promptly notify us of unauthorized access, and accept responsibility for activity occurring through your account except to the extent caused by our failure to provide required security.
5.User Content
You retain ownership of documents, photographs, receipts, property records, descriptions, and other material you submit. You grant Utthana Ventures LLC a limited, non-exclusive license to host, store, reproduce, process, transmit, display, and otherwise use User Content only as reasonably necessary to provide, maintain, secure, improve, and support the Service and as described in the Privacy Notice. You represent that you have the rights necessary to provide the content.
6.Sensitive Information
You should not upload passwords, authentication secrets, encryption keys, or other credentials. Do not upload highly sensitive information unless the relevant feature is specifically designed to accept it and you understand the associated risks.
7.AI and Automated Features
CertiDwell may use automated processing or artificial intelligence to organize, classify, extract, summarize, search, or otherwise process information. Automated results may contain errors. Review important information before relying on it.
8.Prohibited Uses
You may not use the Service unlawfully; attempt unauthorized access; interfere with security; upload malware; impersonate another person or entity; infringe rights; violate privacy; reverse engineer except where legally permitted; circumvent usage limits; or create unreasonable security, legal, or operational risk.
9.Intellectual Property
The Service, software, interfaces, design, branding, trademarks, documentation, and underlying technology are owned by or licensed to Utthana Ventures LLC. Except for rights expressly granted, no rights are transferred to you.
10.Fees and Subscriptions
Prices, billing intervals, renewal terms, and taxes will be disclosed before purchase. Unless otherwise stated, subscriptions automatically renew until cancelled. We may change pricing prospectively with reasonable notice.
11.Refunds and Cancellation
You may cancel according to the procedures presented through the Service. Unless otherwise stated at purchase, fees already paid are non-refundable except where required by law or expressly provided by Utthana Ventures LLC.
12.Third-Party Services
CertiDwell may integrate with third-party services such as hosting, payments, analytics, authentication, storage, fonts, and email. These currently include Google Analytics for website measurement, Google Sign-In for optional authentication, Google Fonts for the typefaces the pages are set in, CAL FIRE and FEMA for official hazard information, and the U.S. Geological Survey National Map for free topographic or imagery backgrounds. Property-map requests are proxied by CertiDwell; those map services receive the coordinates needed to draw the requested view but not your account identity or evidence files. Third-party services have their own terms and privacy policies. Section 26 of the Privacy Notice describes what our analytics does and does not send.
13.Availability and Backups
We do not guarantee uninterrupted or error-free operation. You should maintain independent copies of important documents. CertiDwell is not a substitute for maintaining your own backups.
14.Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” CERTIDWELL DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.
15.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, UTTHANA VENTURES LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY. TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID FOR THE SERVICE DURING THE PRIOR TWELVE MONTHS OR $100.
Nothing in these Terms excludes liability that cannot legally be excluded.
16.Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Utthana Ventures LLC and its officers, employees, contractors, and agents from claims arising from unlawful use, violation of these Terms, User Content, or infringement of third-party rights.
17.Suspension and Termination
We may suspend or terminate access for material violations, security risks, unlawful use, nonpayment, or other permitted reasons. You may stop using the Service at any time.
18.Changes
We may update these Terms. For material changes, we will provide reasonable notice. Continued use after the effective date constitutes acceptance to the extent permitted by law.
19.Governing Law, Venue, and Dispute Resolution
19.1 Governing law
These Terms, and any dispute or claim arising out of or relating to these Terms or the Service, are governed by the laws of the State of California, without regard to its conflict-of-laws rules, except where applicable law requires otherwise.
19.2 Informal resolution first
Most disputes can be resolved without formal proceedings, and we would rather resolve yours that way. Before either party begins a legal proceeding, that party must first send the other a written notice of dispute describing the claim, the facts it rests on, and the relief sought. You may send yours through our contact form; we will send ours to the email address on your account. Neither party may begin a proceeding until 60 days after that notice is sent, and both parties agree to make a good-faith effort to resolve the dispute during that period. This paragraph does not apply to a request for injunctive relief.
Sending the notice stops the clock. Every limitations period that applies to the dispute, including the one-year period in section 19.10, is paused from the day the notice is sent until 60 days after it, or until the parties agree the informal stage is over, whichever is earlier. Talking to us first must never cost you a claim.
19.3 Binding individual arbitration
If a dispute is not resolved under section 19.2, it will be resolved by binding arbitration rather than in court, except for the claims listed in 19.4. Arbitration is administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single neutral arbitrator. This section is governed by the Federal Arbitration Act.
We pay the filing, administrative and arbitrator fees that the AAA Consumer Arbitration Rules assign to us. You may choose to have the arbitration decided on documents alone, by telephone or video, or in person in San Joaquin County, California. The arbitrator may award any relief a court could award to you individually, including statutory damages and attorneys’ fees where a statute provides for them, and the award may be entered as a judgment in any court with jurisdiction.
The arbitrator decides questions of arbitrability, except that a court, not an arbitrator, decides whether 19.4(b) and 19.5 are enforceable.
19.4 What arbitration does not cover
(a) Small claims. Either party may bring an individual claim in small claims court, so long as it stays there and stays individual.
(b) Public injunctive relief. A claim for public injunctive relief — relief aimed at stopping conduct that threatens the public at large, such as claims under California’s Unfair Competition Law, False Advertising Law or Consumers Legal Remedies Act — is not subject to arbitration and may be brought in the courts named in 19.7. Nothing in these Terms waives the right to seek public injunctive relief in any forum, and no part of section 19 should be read as attempting to.
(c) Intellectual property and unauthorized access. Either party may ask a court for an injunction to stop infringement or misuse of intellectual property, or unauthorized access to the Service.
19.5 No class or representative proceedings
CLAIMS MAY BE BROUGHT ONLY IN YOUR OR OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT PRESIDE OVER MORE THAN ONE PERSON’S CLAIMS AND MAY NOT AWARD RELIEF TO ANYONE WHO IS NOT A PARTY.
If this paragraph is held unenforceable as to a particular claim, then that claim alone is severed from arbitration and proceeds in the courts named in 19.7. Every other claim stays in arbitration, and the rest of section 19 is unaffected. This paragraph does not limit 19.4(b).
19.6 How to opt out of arbitration
You may reject sections 19.3 to 19.5 and keep your right to go to court. Send us a notice through our contact form saying that you opt out of arbitration, together with the email address on your account, within 30 days of the date you first accept these Terms — or, if you had an account before 20 August 2026, within 30 days of that date. If we later change section 19, you get a fresh 30 days from the date we notify you of the change.
Opting out costs you nothing, changes nothing else about your account, and is not a condition of using the Service. If you opt out, disputes go to the courts named in 19.7. We will confirm your opt-out in writing to the email address on your account and keep the record for as long as you have an account, so neither of us has to rely on memory later.
19.7 Venue for claims not in arbitration
Any proceeding that is not in arbitration — because of 19.4, 19.5 or 19.6 — must be brought exclusively in the state courts located in San Joaquin County, California, or in the United States District Court for the Eastern District of California, Sacramento Division. Each party consents to the personal jurisdiction of those courts and waives any objection to venue in them, including any objection based on inconvenient forum. This does not apply to a small claims action under 19.4(a), which may be brought where the applicable small claims rules allow.
19.8 Coordinated filings
If 20 or more demands for arbitration raising substantially similar claims are filed by or with the coordination of the same counsel within a 60-day period, the demands will be administered in batches of up to 50, with one arbitrator per batch and each party’s fee obligations applying per batch. Any limitations period is tolled for demands awaiting a batch. This paragraph is about the orderly administration of many similar claims; it does not deny anyone a hearing.
19.9 If we fail to pay arbitration fees
California law gives you a remedy if we do not hold up our end. Under Code of Civil Procedure sections 1281.97 and 1281.98, if we fail to pay the fees required to start or continue an arbitration within 30 days of their due date, we are in material breach, we waive our right to compel arbitration of that dispute, and you may withdraw from arbitration and proceed in court — and seek the sanctions those sections allow. We state that here so it is not a surprise.
19.10 Time limit for claims
Any claim arising out of or relating to these Terms or the Service must be brought within one year after the claim accrues, or it is permanently barred. That year is paused while section 19.2’s informal stage is running, so the 60 days you must wait before filing never come out of the year you have to file in. This paragraph does not apply to any claim for which applicable law prohibits shortening the limitations period, and it does not shorten any period that cannot lawfully be shortened.
19.11 Contact
The Service is operated by Utthana Ventures LLC, a California limited liability company. Questions about these Terms, notices of dispute under section 19.2, and arbitration opt-outs under section 19.6, may be sent through our contact form.
Client Data You Upload About Other People
If you use CertiDwell in the course of your work — as an insurance agent or broker maintaining a book, for example — you may upload information about people other than yourself: your clients’ names, property addresses, documents and photographs (“Client Data”). This section governs that data. Where anything else in these Terms or in the Privacy Notice is inconsistent with it, this section wins — including the licence in section 5 and the purposes listed in section 21 of the Privacy Notice, neither of which extends to Client Data beyond what is set out here.
Which of us is which. For Client Data, you are the business and we are a service provider, as the California Consumer Privacy Act uses those words. You decide why the data is collected and what happens to it. We act on your instructions; using the Service is an instruction.
What we will do. We will process Client Data only to provide and support the Service for you. Specifically, we will not:
- sell Client Data, or share it for cross-context behavioral advertising, as the CCPA defines those terms;
- retain, use or disclose Client Data for any purpose other than performing the Service, or outside our direct business relationship with you, except where the CCPA permits;
- combine Client Data with personal information we receive from anyone else, except as a service provider is permitted to.
We will provide the level of privacy protection the CCPA requires of a service provider, comply with the obligations it places on us, assist you in responding to verifiable consumer requests, and tell you if we determine we can no longer meet those obligations. Any subcontractor we use for Client Data is bound in writing to terms no less protective than these. On termination we delete or return Client Data, except where the law requires us to keep it or the CCPA permits retention.
You may take reasonable and appropriate steps to satisfy yourself that we use Client Data consistently with your own CCPA obligations, and to stop and remediate any unauthorized use.
What you are responsible for. You confirm that you have the authority to give us Client Data, that you have given the individuals concerned whatever notice the law requires, and that you will handle requests those individuals make to you. We do not have a direct relationship with them and cannot give them notice on your behalf.
General Provisions
Severability. If any provision of these Terms is held unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if it cannot be. The remaining provisions stay in full force.
Survival. Sections 3, 5, 9, 11, 14, 15, 16 and 19, and this section, survive termination of your account or of these Terms. The section on Client Data survives for as long as we hold any.
Assignment. You may not assign or transfer these Terms without our prior written consent, and any attempt to do so is void. We may assign these Terms in connection with a merger, acquisition, financing, reorganization, or sale of assets, on notice to you.
User Acceptance
By creating an account or using CertiDwell, you acknowledge that you have read and agree to these Terms of Use and acknowledge the Privacy Notice.
